9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of TN, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Hamilton, TN, and you consent to the personal jurisdiction and venue therein.

10. Termination

We reserve the right to terminate your access to the Website, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Miscellaneous

11.1. Entire Agreement

This Agreement constitutes the entire agreement between you and J & J Horizons Group regarding your use of the Website and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.

11.2. Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of the Agreement, which will remain in full force and effect.

11.3. No Waiver

No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
